TERMS OF SERVICE

By accessing or using RWAFLIX ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you ("User", "you") and RWAFLIX ("we", "us", "our"). By creating an account, you confirm that you are at least 18 years of age or have the consent of a legal guardian.

RWAFLIX is a professional networking and digital marketplace platform designed for the film and cinema industry. The Platform provides services including but not limited to: professional profile creation and talent discovery, portfolio hosting and showcasing, direct messaging between professionals, digital asset marketplace for scripts, templates, and creative assets, event and broadcast listings, and secure payment processing through third-party payment providers (Flutterwave). RWAFLIX connects creators, professionals, and studios across the global film industry.

To use the Platform, you must register for an account by providing your full name, a valid email address, and a secure password. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. RWAFLIX offers three account types: • Creator — For individual content creators, filmmakers, and artists. • Professional — For industry professionals such as directors, producers, cinematographers, and editors. • Studio — For production companies, studios, and corporate entities. Each account type may be subject to a one-time registration fee based on the selected role. Registration fees are non-refundable unless explicitly stated otherwise. You may not create multiple accounts for the same individual or entity. We reserve the right to suspend or terminate accounts that violate this policy.

RWAFLIX operates a membership-based pricing model. Fees are determined by your selected account role and are subject to change with 30 days' prior notice. Payment Processing: All payments are processed through Flutterwave, a licensed and regulated third-party payment gateway. RWAFLIX does not directly store your payment card details. By completing a payment, you agree to Flutterwave's terms of service and privacy policy. Registration Fees: A one-time registration fee may be required upon account creation depending on your chosen role. This fee activates your membership and grants access to the Platform's features. Subscription Tiers: The Platform may offer tiered subscription plans (Starter, Director Pro, Studio) with varying levels of access and features. Subscription pricing, billing cycles, and included features are displayed on the pricing page and may be updated periodically. Refund Policy: Registration fees and subscription payments are generally non-refundable. Refund requests may be considered on a case-by-case basis within 7 days of payment if the service has not been substantially used. To request a refund, contact us at support@rwaflix.com. Currency: Payments may be processed in USD, RWF (Rwandan Francs), or GHS (Ghanaian Cedis) depending on your region and payment method. Currency conversion rates are determined by the payment provider.

RWAFLIX provides a digital marketplace where users can list, promote, and sell digital assets including scripts, templates, presets, tutorials, and other creative materials ("Products"). Seller Responsibilities: Sellers are solely responsible for the accuracy of their product listings, including titles, descriptions, and pricing. Sellers must have the legal right to sell the Products they list. Sellers must respond to buyer inquiries in a timely manner. Buyer Responsibilities: Buyers are responsible for reviewing product descriptions before initiating a purchase. Disputes between buyers and sellers should first be resolved directly between the parties. Platform Role: RWAFLIX acts as a facilitator and does not guarantee the quality, legality, or fitness of any Products listed on the marketplace. RWAFLIX is not a party to any transaction between buyers and sellers. We reserve the right to remove any listing that violates these Terms or applicable laws. Contact Methods: Products may be sold through WhatsApp, email, or external links as specified by the seller. RWAFLIX does not process marketplace product payments directly — transactions are facilitated between the buyer and seller through the seller's designated contact method.

You retain ownership of all content you upload to the Platform, including portfolio items, profile information, product listings, and messages ("User Content"). By uploading User Content, you grant RWAFLIX a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the Platform for the purpose of providing our services. This license ends when you delete your content or close your account, except where your content has been shared with other users or used in platform promotional materials. You are solely responsible for your User Content and represent that: you own or have the necessary rights to the content, your content does not infringe any third-party intellectual property rights, your content does not contain unlawful, defamatory, or harmful material, and your content complies with all applicable laws. We reserve the right to remove any User Content that violates these Terms without prior notice.

RWAFLIX allows users to send connection requests, view profiles, and exchange direct messages with other users. Connection Requests: You may send connection requests to other users. The recipient has the right to accept or decline any request. Sending excessive, unsolicited, or harassing connection requests is prohibited. Messaging: Messages are private communications between users. You must not use messaging for spam, harassment, solicitation of illegal activities, or distribution of malicious content. RWAFLIX reserves the right to monitor and moderate messages to ensure compliance with these Terms and to maintain platform safety. Profile Views: RWAFLIX tracks and displays profile view counts and recent viewers to help users understand their visibility and engagement on the Platform.

You agree not to: • Use the Platform for any unlawful purpose or in violation of any applicable laws. • Impersonate another person or entity, or falsely represent your affiliation with any person or entity. • Upload, post, or transmit any content that is fraudulent, misleading, defamatory, obscene, or offensive. • Attempt to gain unauthorized access to other user accounts, the Platform's systems, or any connected network. • Use automated tools, bots, scrapers, or similar technologies to access or collect data from the Platform without our written consent. • Interfere with or disrupt the Platform's infrastructure or services. • Redistribute, sell, or license content belonging to other users without their explicit consent. • Engage in price manipulation, fake reviews, or any other deceptive commercial practices on the marketplace. • Share your account credentials with others or allow others to access your account.

The RWAFLIX name, logo, branding, website design, software, and all associated intellectual property are owned by RWAFLIX and its licensors. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent. Third-party trademarks, service marks, and logos used on the Platform belong to their respective owners. Their appearance on the Platform does not imply any endorsement by or affiliation with RWAFLIX.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy. Please review our Privacy Policy at rwaflix.com/privacy for complete details.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason including but not limited to: • Violation of these Terms of Service. • Fraudulent or illegal activity. • Failure to complete required payments. • Extended inactivity (accounts inactive for more than 12 months may be flagged for review). • Requests from law enforcement or government authorities. Upon termination, your right to use the Platform ceases immediately. Your User Content may be deleted after a 30-day grace period. Any outstanding payment obligations survive termination. You may request account deletion at any time by contacting us at support@rwaflix.com. We will process your request within 30 business days.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RWAFLIX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RWAFLIX does not guarantee: uninterrupted or error-free access to the Platform, the accuracy or completeness of any content on the Platform, the quality or reliability of any products sold through the marketplace, or the conduct or identity of any user. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RWAFLIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to RWAFLIX in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless RWAFLIX, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: your use of the Platform, your violation of these Terms, your User Content, your violation of any third-party rights, or any dispute between you and another user of the Platform.

RWAFLIX reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Continued use of the Platform after changes have been posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Platform.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in Kigali, Rwanda, in accordance with the rules of the Kigali International Arbitration Centre (KIAC). You agree that any legal action or proceeding related to these Terms must be brought within one (1) year after the cause of action arises.
